Are you over clocking this CPU?  If so, don't and see what happens.

I've had probs with a Radeon AGP card on an ASUS MB with the Nvidia 
chipset before.  I don't remember if you mention what chipset the MB is using?

Generally you don't want to have all of your fans flowing in the same 
direction.  If your box is standing up get your flow in on the bottom 
front and out on the top back.  This will get a cross flow.  For testing 
close the case because an open case produces NO flow.
